The Star Entertainment Group stated that its plan to sell its stake in the Destination Brisbane Consortium (DBC) has failed, as joint venture partners did not agree to extend the heads of agreement deadline. This development has led to a significant drop in the company’s stock value.
The Star intended to offload its DBC Stake. In March, the company signed a binding heads of agreement with Chow Tai Fook Enterprises Limited and Far East Consortium International Limited to sell its interests in the Destination Brisbane Consortium (DBC), Destination Gold Coast Consortium (DGCC), and other assets. On June 30, the partners issued a notice to end the HoA as certain conditions weren’t satisfied. A week later, The Star announced a revised HoA termination date.
The updated agreement allowed The Star and its partners until July 31, 2025, to finalize certain documents. However, by July 30, The Star reported in its quarterly activities report that finalizing those documents was unlikely.
The Joint Venture Partners Declined Further Extension. On August 1, The Star announced via ASX that consensus with its joint venture partners was not reached. Although it suggested extending the HoA termination date to August 6, 2025, the partners rejected this proposal.
Consequently, the HoA Termination Notice became effective, and the HoA was terminated as of August 1. The Star will retain its 50% equity interest in DBC and its 1/3 equity interest in DGCC, along with the Treasury Brisbane hotel and car park and its 50% stake in the Charlotte Street Car Park (Festival).
According to the HoA deadline extension, The Star must repay AUD 10 million received from partners and reimburse its share of equity contributions since March 31, totaling approximately AUD 31 million. If it doesn’t repay on time, it must transfer its 1/3 interest in Tower 1 Hotel at the Gold Coast (Dorsett) to the partners.
The Star remains liable for future equity contributions to DBC, estimated at AUD 300 million, with additional equity possibly needed to refinance the DBC debt facility.
The Star’s Shares Dropped. The company is currently exploring options for its DBC stake, Treasury Brisbane hotel and car park, and its 50% equity interest in the Charlotte Street Car Park. Meanwhile, the failed deal triggered an immediate drop in its share price, now at AUD 0.092, an all-time low for the company.
